Terms and conditions

These Terms and Conditions constitute the User Agreement and Terms of Service (hereafter the “Terms & Conditions”) between Osmi (referred to as “OSMI” or the “Site”) and any person, customer, or entity (referred to as the “User”) utilizing the website or applications, OSMI Network and any products, features, and services provided thereon (“OSMI Services”).

These Terms & Conditions do not create any agency, partnership, or joint venture between OSMI and User. By signing up for an account through OSMI or any associated websites, APIs, or mobile applications, the User has read and consents to the Terms & Conditions. The User also agrees to OSMI’s Privacy Policy and User Conduct.

These Terms & Conditions may be amended and updated from time to time at the sole discretion of OSMI. Revised versions will be considered effective as of the date and time posted on the OSMI Site.

1. OSMI Services

OSMI is a decentralized distributed application network, using smart contracts (each a “Smart Contract”) to enable its Users to own, buy, sell, transfer, and share unique digital assets that can be visualized on the OSMI Site through the OSMI App.

1.1 OSMI Node

OSMI Node is a computer software and hardware system connected to OSMI. The Node supports decentralized AI technology by maintaining cryptographic integrity and confirming transactions.

The term “OSMI Node” may refer to the physical node or the license obtained to operate it. All nodes together form the “OSMI Node Network.”

1.2 OSMI Network

The OSMI Network allows Users to store data, AI models, and NFTs on a public ledger with immutable ownership records.

Ownership of NFTs does not guarantee IP rights unless OSMI holds a valid license to the underlying intellectual property. If the license expires, rights may be removed or changed at OSMI’s discretion.

1.3 OSMI Reward

Users may earn digital rewards called the “OSMI Reward,” which include OSMI tokens, NFTs, or other assets shown in the OSMI App.

These are digital representations and not Security Tokens. They are not offered via ICOs. OSMI does not guarantee monetary value or liquidity for any rewards or assets.

1.4 OSMI App

• 1.4.1 OSMI App runs via browser or mobile device. It does not store or transfer NFTs—transactions occur on-chain. MetaMask and other wallets may be used. OSMI has no control over these.

• 1.4.2 OSMI generates a cryptographic key pair. Users are solely responsible for backup and security of their wallet data.

• 1.4.3 Transactions are confirmed by the decentralized OSMI Network.

• 1.4.4 OSMI cannot guarantee transaction success. Submitted details may be delayed or not processed.

• 1.4.5 In case of a network fork, services may be disrupted, and OSMI is not liable for resulting losses.

• 1.4.6 OSMI does not store passwords, keys, or PINs. Lost credentials cannot be recovered.

• 1.4.7 No fees are currently charged by OSMI, but future fees may apply. Network gas fees are the User’s responsibility.

• 1.4.8 Additional Rewards may be offered via referrals or promotions. OSMI makes no guarantees regarding their availability or delivery.

• 1.4.9 Users may only have one (1) OSMI App unless otherwise permitted. Violations may result in account suspension.

• 1.4.10 Users must provide valid email and KYC info. Failure to pass KYC checks may result in account termination.

• 1.4.11 Users may purchase a Name Tag. Legal responsibility for trademark rights remains with the User.

1.5 OSMI Launcher

By downloading “Osmi Launcher,” the User agrees to the Limited Software Warranty and License Agreement.

2. Payment Terms

• 2.1 Annual Node license and monthly service fees apply.

• 2.2 Software license agreements may be required.

• 2.3 Hardware purchase is optional but must meet network specs.

• 2.4 Hosting and maintenance fees may apply if the User elects to use third-party hosting.

• 2.5 Network transaction fees apply to transfers and are non-refundable.

• 2.6 Users are responsible for any third-party wallet or app fees.

• 2.7 Taxes are the User’s responsibility.

• 2.8 Credit card payments are processed by a third-party Payment Processor. USDC is the only supported crypto payment.

• 2.9 All sales are final. No refunds unless explicitly stated.

3. User Obligations

• 3.1 Users manage their own software, hardware, and optimization.

• 3.2 Users must protect their login credentials.

• 3.3 Users accept network risks, such as latency, hacking, and instability.

• 3.4 Users accept that network changes may affect functionality.

• 3.5 Users must comply with trade and sanction laws.

• 3.6 Compliance with local laws is required.

• 3.7 Intellectual property remains the property of OSMI or licensors.

• 3.8 Users must be 18 years or older.

• 3.9 Prohibited conduct includes impersonation, abuse, fraud, reverse engineering, and misuse of OSMI Services.

• 3.10 OSMI Services are not investment vehicles. Promotion of them as such violates these Terms.

• 3.11 OSMI Nodes exist solely to support the Node ecosystem. Rewards are only granted if work is performed.

• 3.12 Users engaging in play-to-earn mechanics are responsible for all tax obligations.

4. Termination

• 4.1 OSMI may suspend or terminate access at its discretion.

• 4.2 During suspension, all fees still apply.

• 4.3 On termination, all User rights end. Outstanding fees remain due.

5. Governance

• 5.1 An advisory board may be established.

• 5.2 Protocol updates may be voted on.

• 5.3 Consensus Nodes validate transactions.

• 5.4 Community contributions may be rewarded.

6. Publicity

Users may state publicly that they use OSMI, provided it aligns with any Trademark Guidelines.

7. Representations and Warranties

Each party confirms they have the authority to enter this agreement and will comply with all applicable laws.

8. Disclosures & Risks

• 8.1 OSMI Services are not investments.

• 8.2 Digital rewards are not legal tender or insured.

• 8.3 NFTs and digital assets may lose all value.

• 8.4 Regulation may impact usability or legality of OSMI.

• 8.5 Transactions are irreversible. Cybersecurity risks exist.

• 8.6 Governance amendments may not align with User interests.

9. Disclaimer

OSMI disclaims all warranties not explicitly stated. Use of services is at User’s risk. OSMI is not liable for data loss.

10. Limitation of Liability

• 10.1 OSMI is not liable for indirect, incidental, or punitive damages.

• 10.2 Total liability is capped at fees paid by the User in the past 12 months.

11. Indemnification

Users will indemnify OSMI from third-party claims resulting from their use of the platform.

12. Miscellaneous

• 12.1 Assignments require OSMI’s written consent.

• 12.2 OSMI is not responsible for third-party communications.

• 12.3 Disputes may be resolved via arbitration in Salt Lake City, Utah.

• 12.4 These Terms represent the entire agreement.

• 12.5 Force majeure applies.

• 12.6 California law governs.

• 12.7 English is the official language of the Terms.

• 12.8 Notices will be provided via the Site or email.

• 12.9 If any section is found invalid, the rest remain enforceable.

Terms and Conditions for Claiming $OSMI Rewards on GalaChain

By claiming $OSMI rewards on GalaChain, you agree to the following:

1. Nature of $OSMI

• $OSMI is a utility and reward token, not a security.

• It carries no ownership or financial rights.

2. Risks

• $OSMI is not legal tender or insured.

• Value is volatile and may drop to zero.

• Regulatory or technical changes may impact usability.

3. Claiming Process

• Only eligible users may claim.

• Incorrect wallets are the User’s responsibility.

• Transactions are final and irreversible.

4. Acceptance of Terms

By claiming, you accept all risks and responsibilities. OSMI may modify terms at any time.
